These terms set out the agreement between you and Solidshop when you visit our website, create an account, or purchase commercial extensions. Please read them carefully.

Introduction

Welcome to Solidshop. These Terms of Service (“Terms”) form a binding agreement between you (“you” or “your”) and Solidshop (“we”, “us”, or “our”). They govern your use of the solidshop.app website, associated services, and any commercial extensions, plugins, templates, or modules that we distribute (collectively, the “Service”).

The Solidshop core and every commercial Extension are licensed under GPL-3. These Terms govern the website, your account, and the paid updates-and-support service sold through it — they do not replace or restrict the GPL-3 licence that applies to the software itself.

Acceptance of terms

By creating an account, making a purchase, or otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, Refund Policy, and Support Policy, each of which is incorporated by reference.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, in which case “you” also refers to that organisation.

You must be at least 16 years old and legally able to enter into a binding contract in your jurisdiction to use the Service.

Definitions

Term Meaning
Core The Solidshop component for Joomla, distributed free of charge under the GPL-3 licence.
Extension Any commercial plugin, template, or module we sell through solidshop.app.
Licence Your entitlement to download an Extension and to receive updates and support for it, for the stated number of Production Domains during the Licence Period. Use of the code itself is granted separately by the GPL-3 licence and does not end with the Licence Period.
Licence Period The period for which your Licence entitles you to updates and support — typically 12 months from purchase unless stated otherwise.
Production Domain A publicly accessible domain on which a live store runs. Staging, development, and local domains are unlimited.
Content Any text, images, code, or files you submit to the Service (forum posts, support messages, etc.).
PayPal PayPal (Europe) S.à r.l. et Cie, S.C.A. and its affiliates, our payment processor. PayPal processes payments for Extension purchases and renewals on our behalf. Solidshop remains the seller of record and issues your invoice.

Core licence (GPL-3)

The Solidshop core component is licensed under the GNU General Public License, version 3. You are free to use, modify, and redistribute the core subject to the terms of that licence. The full licence text is included in the source repository.

Nothing in these Terms limits the rights granted to you by the GPL-3 with respect to the core. If any part of these Terms conflicts with the GPL-3 as it applies to the core, the GPL-3 prevails for that component.

Commercial extensions licence

Every commercial Extension is itself free, open-source software, licensed under the GPL-3 — exactly like the Solidshop core. Here, “free” means free as in freedom, not free of charge: you pay us for the Extension, yet the software you receive is licensed under the GPL-3, ships with its complete source code, and grants you the same freedoms as the free core. This is not a concession on our part — it is deliberate, and it is also required: because each Extension builds on Joomla, which is itself GPL software, its code is a derivative work that inherits the GPL-3, and we publish it under that licence openly and in full. Accordingly, the GPL-3 grants you the right to use, modify, and redistribute the Extension’s code, on any number of sites and with no time limit, and nothing in these Terms removes those rights. What you purchase is a Licence: a time-limited entitlement to download the Extension from us and to receive updates and support for it. That entitlement works as follows:

  • Your Licence covers updates and support for the number of Production Domains stated at the time of purchase (for example: “1 site”, “5 sites”, or “unlimited”). Staging, development, and local environments do not count against that allowance.
  • During your Licence Period, you are entitled to updates and support as described in the Support Policy. After the Licence Period, the Extension keeps working indefinitely — it simply stops receiving updates and support unless you renew. We never disable, time-bomb, or “phone home” to software you have installed.
  • Full source code is provided for every Extension, and you are free to view, audit, modify, and redistribute it under the GPL-3.
  • It is your Licence — not the code — that is tied to your account and Production Domains. If you give or redistribute an Extension to someone else, as the GPL-3 permits, that does not pass on your Licence: to receive updates and support from us, they need their own Licence.
  • The Solidshop name and logo are trademarks. Redistributing the GPL-3 code does not grant any right to use our branding to present a copy as an official or supported release.

Each Extension’s product page may include additional terms (for example, a higher support tier or a larger Production Domain allowance). Where any such additional terms conflict with this section, the Extension’s specific terms prevail. No additional term restricts the rights the GPL-3 grants you in the code itself.

Your account

To purchase an Extension or post on the forum, you must create an account. You are responsible for:

  • Providing accurate information and keeping it up to date.
  • Maintaining the confidentiality of your password and enabling two-factor authentication where offered.
  • All activity that occurs under your account.

Purchases & billing

Extensions are sold by Solidshop as the seller of record. When you complete a purchase, your contract for that sale is with us under these Terms. Payment is processed on our behalf by PayPal; your use of PayPal at checkout is also subject to the PayPal User Agreement.

Prices for Extensions are displayed in the currency indicated at checkout. All prices include any applicable taxes — the amount shown is the total you pay, with no tax added at checkout.

Payment is taken through PayPal using the method you choose at checkout (your PayPal balance, or a credit or debit card processed via PayPal). You authorise the charge for the amount shown. If a payment fails, we may suspend access to paid features until the balance is settled.

We issue your invoice and email it to you automatically; you can also retrieve it from the “Purchases” section of your account. You are responsible for reviewing each invoice and raising any dispute within 30 days of issue.

Licence renewals

Extensions are sold with a 12-month Licence Period by default. Licences are not billed automatically. When your Licence Period ends, the Extension continues to work on your site but no longer receives updates or support.

To continue receiving updates and support, you may purchase a renewal at any time from your account on solidshop.app. A renewal is a deliberate purchase you initiate, processed through PayPal in the same way as a new purchase; nothing is charged unless and until you choose to renew.

Acceptable use

When using the Service, you agree not to:

  • Violate any applicable law or regulation.
  • Infringe any intellectual property or privacy right.
  • Upload or transmit malware, viruses, or malicious code.
  • Attempt to gain unauthorised access to any part of the Service or to another user’s account.
  • Probe, scan, or test the vulnerability of any system or network, except as part of an authorised security research programme.
  • Interfere with or disrupt the Service (for example, through denial-of-service attacks, scraping, or excessive API traffic).
  • Resell, share, or transfer your licence key, account, or access to our download and update service to anyone who does not hold their own Licence. (Redistributing an Extension’s GPL-3 source code is permitted by that licence; sharing access to our paid update and support service is not.)
  • Use the Service to send spam or unsolicited communications.
  • Misrepresent your affiliation with any person or entity, including Solidshop.

We may suspend or terminate access for any user who violates these rules, with or without notice depending on the severity of the breach.

Intellectual property

All content on the website — including the Solidshop name, logo, marketing copy, screenshots, and documentation — is owned by Solidshop or its licensors and protected by copyright, trademark, and other intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

The source code of the core and of every commercial Extension is licensed under the GPL-3. Our trademarks, branding, and the paid download, update, and support service described above are not part of that GPL-3 grant and remain ours.

User-submitted content

You retain all rights in Content you submit to the Service (for example, forum posts, screenshots attached to support tickets, or feature requests). By submitting Content, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, and distribute it solely for the purpose of operating and improving the Service.

You are responsible for ensuring you have the right to submit the Content and that it does not violate any law or the rights of any third party. We may remove Content that, in our reasonable judgment, violates these Terms.

Third-party services

The Service relies on third-party services, including PayPal for payment processing, an analytics provider, and an email-delivery provider. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

Extensions may connect to external APIs (for example, a carrier for shipping rates or a payment gateway used by your own store). You are responsible for complying with the terms of any third-party service you connect through Solidshop.

Warranties & disclaimers

The Service, including the core and all Extensions, is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities, nor that any defects will be corrected. You use the Service at your own risk.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, or for fraud. Consumer statutory rights in your jurisdiction are unaffected.

Limitation of liability

To the fullest extent permitted by law, in no event will Solidshop be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Service, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (US$100).

Indemnification

You agree to indemnify and hold harmless Solidshop and its officers, employees, and agents from and against any claim, loss, liability, or expense (including reasonable legal fees) arising from:

  • Your breach of these Terms.
  • Your violation of any law or of the rights of a third party.
  • Content you submit to the Service.
  • Your use of the Service to sell products or services to end customers.

Termination

You may terminate your account at any time by emailing This email address is being protected from spambots. You need JavaScript enabled to view it.. We may suspend or terminate your account if you materially breach these Terms, with written notice where practicable.

On termination: (a) your access to paid features ends; (b) any unexpired Licence Period continues for the software you have already installed, subject to these Terms; (c) provisions that by their nature are intended to survive (licences, disclaimers, liability limits, indemnification, governing law) remain in force.

Changes to these terms

We may update these Terms from time to time to reflect changes in the Service or legal requirements. If we make material changes, we will give you at least 14 days’ notice by email or prominent notice in your account before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you may close your account.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Solidshop is established, without regard to its conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory consumer law in your country of residence reserves jurisdiction to the courts there.
