Terms of Service

These terms set out the agreement between you and Solidshop when you visit our website, create an account, or purchase commercial extensions. Please read them carefully.

Introduction

Welcome to Solidshop. These Terms of Service (“Terms”) form a binding agreement between you (“you” or “your”) and Solidshop (“we”, “us”, or “our”). They govern your use of the solidshop.app website, associated services, and any commercial extensions, plugins, templates, or modules that we distribute (collectively, the “Service”).

The Solidshop core is licensed separately under GPL-3. These Terms apply to the website, your account, and the commercial extensions sold through it. They do not replace or restrict the GPL-3 licence that applies to the core component itself.

Acceptance of terms

By creating an account, making a purchase, or otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy and Support Policy, each of which is incorporated by reference.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms, in which case “you” also refers to that organisation.

You must be at least 16 years old and legally able to enter into a binding contract in your jurisdiction to use the Service.

Definitions

Term Meaning
Core The Solidshop component for Joomla, distributed free of charge under the GPL-3 licence.
Extension Any commercial plugin, template, or module we sell through solidshop.app.
Licence The right to use an Extension on a specified number of Production Domains for the duration of the Licence Period.
Licence Period The period for which your Licence entitles you to updates and support — typically 12 months from purchase unless stated otherwise.
Production Domain A publicly accessible domain on which a live store runs. Staging, development, and local domains are unlimited.
Content Any text, images, code, or files you submit to the Service (forum posts, support messages, etc.).
Paddle Paddle.com Market Limited, our Merchant of Record. Paddle is the seller of record for Extension purchases, collects payment, calculates and remits sales tax/VAT, and issues customer invoices on our behalf.

Core licence (GPL-3)

The Solidshop core component is licensed under the GNU General Public License, version 3. You are free to use, modify, and redistribute the core subject to the terms of that licence. The full licence text is included in the source repository.

Nothing in these Terms limits the rights granted to you by the GPL-3 with respect to the core. If any part of these Terms conflicts with the GPL-3 as it applies to the core, the GPL-3 prevails for that component.

Commercial extensions licence

When you purchase an Extension, we grant you a non-exclusive, non-transferable licence to install and use that Extension, subject to the following:

  • The Licence applies for the number of Production Domains stated at the time of purchase (for example: “1 site”, “5 sites”, or “unlimited”).
  • Staging, development, and local environments are unlimited and do not count against your Production Domain allowance.
  • During your Licence Period, you are entitled to updates and support as described in the Support Policy. After the Licence Period, the Extension continues to work but no longer receives updates or support unless the Licence is renewed.
  • You may modify the Extension’s source code for your own use. You may not redistribute, resell, sublicense, or republish the Extension (modified or unmodified) outside the scope of your Licence.
  • Source code is provided for all Extensions. You are not restricted from viewing, auditing, or editing the code.

Each Extension’s product page may include additional terms (for example, a higher-tier licence granting SaaS redistribution rights). Where any such additional terms conflict with this section, the Extension’s specific terms prevail.

Your account

To purchase an Extension or post on the forum, you must create an account. You are responsible for:

  • Providing accurate information and keeping it up to date.
  • Maintaining the confidentiality of your password and enabling two-factor authentication where offered.
  • All activity that occurs under your account.

Purchases & billing

Extensions are sold by Paddle.com Market Limited as Merchant of Record. When you complete a purchase, your contract for that sale is with Paddle, and Paddle’s Checkout / Buyer Terms apply to the transaction. We grant you the licence to the Extension under these Terms; Paddle handles the payment, tax, and invoicing.

Prices for Extensions are displayed in the currency indicated at checkout and are exclusive of taxes unless stated otherwise. Paddle calculates and collects VAT, GST, or sales tax where applicable based on the billing address you provide at checkout, and remits it to the relevant tax authority.

Payment is taken by Paddle using the method you choose at checkout (card, PayPal, Apple Pay, Google Pay, SEPA, or other methods Paddle supports in your region). You authorise Paddle to charge that payment method for the amount shown. If a payment fails, we may suspend access to paid features until the balance is settled.

Invoices are issued by Paddle and emailed to you automatically; you can also retrieve them from the account-management link included in any Paddle receipt. You are responsible for reviewing each invoice and raising any dispute within 30 days of issue.

Subscriptions & renewals

Extensions are sold with a 12-month Licence Period by default. Licences may be set to auto-renew at the price in effect at renewal time. Auto-renewals are billed by Paddle, which sends a reminder email before each scheduled charge.

You can disable auto-renewal at any time using the account-management link in any Paddle receipt, or by contacting us. Disabling auto-renewal does not cancel the current Licence Period — your Licence remains active until it expires.

Acceptable use

When using the Service, you agree not to:

  • Violate any applicable law or regulation.
  • Infringe any intellectual property or privacy right.
  • Upload or transmit malware, viruses, or malicious code.
  • Attempt to gain unauthorised access to any part of the Service or to another user’s account.
  • Probe, scan, or test the vulnerability of any system or network, except as part of an authorised security research programme.
  • Interfere with or disrupt the Service (for example, through denial-of-service attacks, scraping, or excessive API traffic).
  • Resell, repackage, or redistribute Extensions in violation of the Licence granted.
  • Use the Service to send spam or unsolicited communications.
  • Misrepresent your affiliation with any person or entity, including Solidshop.

We may suspend or terminate access for any user who violates these rules, with or without notice depending on the severity of the breach.

Intellectual property

All content on the website — including the Solidshop name, logo, marketing copy, screenshots, and documentation — is owned by Solidshop or its licensors and protected by copyright, trademark, and other intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

The source code of the core is licensed under GPL-3; the source code of Extensions is licensed under the terms set out above.

User-submitted content

You retain all rights in Content you submit to the Service (for example, forum posts, screenshots attached to support tickets, or feature requests). By submitting Content, you grant us a worldwide, royalty-free, non-exclusive licence to host, display, reproduce, and distribute it solely for the purpose of operating and improving the Service.

You are responsible for ensuring you have the right to submit the Content and that it does not violate any law or the rights of any third party. We may remove Content that, in our reasonable judgment, violates these Terms.

Third-party services

The Service relies on third-party services, including Paddle (Merchant of Record) for purchases, an analytics provider, and an email-delivery provider. Your use of those services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

Extensions may connect to external APIs (for example, a carrier for shipping rates or a payment gateway used by your own store). You are responsible for complying with the terms of any third-party service you connect through Solidshop.

Warranties & disclaimers

The Service, including the core and all Extensions, is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities, nor that any defects will be corrected. You use the Service at your own risk.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, or for fraud. Consumer statutory rights in your jurisdiction are unaffected.

Limitation of liability

To the fullest extent permitted by law, in no event will Solidshop be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Service, whether based in contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred Euro (€100).

Indemnification

You agree to indemnify and hold harmless Solidshop and its officers, employees, and agents from and against any claim, loss, liability, or expense (including reasonable legal fees) arising from:

  • Your breach of these Terms.
  • Your violation of any law or of the rights of a third party.
  • Content you submit to the Service.
  • Your use of the Service to sell products or services to end customers.

Termination

On termination: (a) your access to paid features ends; (b) any unexpired Licence Period continues for the software you have already installed, subject to these Terms; (c) provisions that by their nature are intended to survive (licences, disclaimers, liability limits, indemnification, governing law) remain in force.

Changes to these terms

We may update these Terms from time to time to reflect changes in the Service or legal requirements. If we make material changes, we will give you at least 14 days’ notice by email or prominent notice in your account before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you may close your account.

Governing law & disputes

These Terms are governed by the laws of the jurisdiction in which Solidshop is established, without regard to its conflict-of-law rules. The courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except where mandatory consumer law in your country of residence reserves jurisdiction to the courts there.
